ASHIRASE, INC. TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the Ashirase, INC. ("Ashirase") wearable device ("Device"), the ASHIRASE mobile application ("App"), and related support services ("Service").

By activating, installing, accessing, or using the App or Service, you agree to these Terms.

1. Nature of Product and Service

1. The Device is a wearable navigation support device designed to assist visually impaired users while walking.
2. The Service refers to the navigation assistance functions provided through the Device and the App.
3. Further information about the Service and its features is available on the Ashirase website (https://www.ashirase.com/) or other official materials published by Ashirase.
4. The Device is an assistive navigation aid only and must not be relied upon as the sole mobility tool. Users must continue to use appropriate mobility aids, including but not limited to a white cane or guide dog.
5. You must continue to use appropriate mobility aids (including but not limited to a white cane or guide dog).

2. No Ongoing Fees

1. No subscription or recurring service fee applies to the standard use of the App with a purchased Device.
2. Future optional premium features (if any) will be subject to separate terms.

3. User Registration and APP Licence

1. If use of the Service requires user registration, you must provide the information requested by Ashirase and complete the registration procedures specified by Ashirase.
2. By submitting the required registration information, you apply to register for the Service and agree to comply with these Terms. Your registration will become effective when Ashirase activates your account or otherwise enables you to use the Service.
3. Ashirase may refuse or cancel registration if the information provided is false, inaccurate, incomplete, or misleading, or if Ashirase reasonably determines that the registration is inappropriate.
4. Subject to compliance with these Terms, Ashirase grants you a limited, non-exclusive, non-transferable, revocable licence to use the App solely in connection with your Device for personal use.
5. You must not:
   • reverse engineer, decompile, or modify the App
   • distribute or sublicense the App
   • use the App for commercial navigation services
6. This licence terminates automatically if you breach these Terms.

4. SAFETY AND USE CONDITIONS

Safety Notice

1. The Service is designed to assist users while walking. When using the Service, you must comply with the following conditions and precautions.
   1. You must use appropriate mobility aids necessary for safe walking, including but not limited to a white cane, guide dog, or other assistive devices.
   2. The location information used by the Service is obtained through the GPS function of your mobile device. GPS functionality may not operate correctly depending on the environment. As a result, the Service may not function properly in certain locations, including but not limited to areas with dense high-rise buildings, inside buildings, or in forests.
   3. You must use the Device in accordance with the instructions and user guides provided by Ashirase, including those available at: https://www.ashirase.com/support
      You must also ensure that the Device is properly attached to your footwear.
   4. The Service is designed to be used in combination with the Device and the App. Use of the App alone may not provide the intended functionality or user experience.

Prohibited Conduct

2. When using the Service, you must not engage in any of the following activities:
   1. Violating any applicable law or engaging in criminal activity.
   2. Breaching these Terms.
   3. Using the Service, including the Device or App, for purposes other than those intended.
   4. Engaging in conduct that is contrary to public order or good morals.
   5. Infringing the intellectual property rights, privacy rights, publicity rights, reputation, or other rights or interests of Ashirase, other users, or any third party.
   6. Placing excessive load on the Service's network or systems.
   7. Reverse engineering, decompiling, disassembling, or otherwise analysing the App.
   8. Interfering with or disrupting the operation of the Service.
   9. Gaining or attempting to gain unauthorised access to Ashirase systems or networks.
   10. Conducting advertising, solicitation, marketing, or commercial activities on the Service without prior authorisation from Ashirase.
   11. Collecting information about other users without authorisation.
   12. Causing disadvantage, damage, or discomfort to Ashirase, other users, or any third party.
   13. Providing benefits to organised crime groups or other antisocial forces.
   14. Any other conduct that Ashirase reasonably determines to be inappropriate.

Third-Party Services and Data

3. The Device, App, and Service may rely on or interact with third-party technologies and services, including but not limited to mobile operating systems, wireless networks, GPS signals, map data providers, and cloud infrastructure.
4. Ashirase does not control and is not responsible for the availability, accuracy, reliability, or continued operation of such third-party services.
5. The functionality of the Service may be affected by interruptions, changes, or discontinuation of third-party services.
6. To the maximum extent permitted by applicable law, Ashirase will not be liable for any loss or damage arising from the unavailability, inaccuracy, or failure of third-party services.

Connectivity and Device Compatibility

7. The Device and App require compatible hardware, software, and network connectivity, including a supported smartphone, Bluetooth connection, and access to location services.
8. Ashirase does not guarantee that the Service will operate with all devices, operating system versions, or network environments.
9. Service performance may vary depending on factors such as device configuration, operating system updates, wireless signal conditions, and environmental factors.
10. You are responsible for ensuring that your device and software meet the minimum system requirements specified by Ashirase.

5. Consumer Guarantees

1. For the purposes of these Terms, "Consumer Law" means any applicable mandatory consumer protection laws, regulations, or statutory guarantees in the country or jurisdiction where the user resides or where the product is supplied, including laws that provide non-excludable consumer rights or remedies.
2. Nothing in these Terms is intended to exclude, restrict, or modify any rights that cannot be excluded under applicable Consumer Law.
3. If a product suffers a major failure under Consumer Law, you may be entitled to a replacement, refund, or compensation for reasonably foreseeable loss or damage.
4. If a product fails to be of acceptable quality and the failure does not amount to a major failure, you may be entitled to repair or replacement as provided under Consumer Law.

6. WARRANTY AND LIMITATIONS

Voluntary Manufacturer's Warranty

1. Ashirase may provide a voluntary manufacturer's warranty in addition to your rights under applicable Consumer Law.
2. Damage or malfunction caused by:
   • unauthorised modification
   • misuse
   • improper installation
   • external damage
   • liquid exposure beyond stated specifications
   is not covered under the voluntary manufacturer's warranty.
3. This limitation does not affect your rights under applicable Consumer Law.

Limitation of Liability

4. To the maximum extent permitted by applicable law, and subject to clauses 5 and 6:
   Ashirase is not liable for:
   • indirect or consequential loss
   • loss of data
   • loss arising from misuse
   • loss caused by third-party services
5. If liability cannot be excluded under law, our liability is limited to:
   • replacement of goods
   • repair of goods
   • resupply of services
   • payment of the cost of resupply
   as permitted under applicable Consumer Law.

Warranty Disclaimer

6. To the maximum extent permitted by applicable law, and subject to any rights you may have under applicable Consumer Law, the information and guidance provided through the Service (including, without limitation, vibration timing, vibration strength, navigation signals, and other alerts generated by the Device) are provided on an "as is" and "as available" basis.
7. Ashirase does not guarantee the completeness, usefulness, availability, accuracy, timeliness, safety, reliability, or fitness for a particular purpose of the Service or any information provided through it.
8. Ashirase will not be liable for any loss or damage suffered by you or any third party arising from reliance on such information or guidance.

User Breach

9. To the maximum extent permitted by applicable law, Ashirase is not responsible for any loss, damage, or liability arising from your breach of these Terms or misuse of the Device, App, or Service.

7. Changes to the Service

1. Ashirase may update, modify, or improve the App or Service at any time. If changes materially reduce core functionality, reasonable notice will be provided where practicable.
2. Ashirase may revise or update these Terms from time to time. Where changes are made, Ashirase will provide notice at least fourteen (14) days before the effective date of the revised Terms by posting the updated Terms on the Ashirase website, within the App, or by other reasonable means.
3. If you do not withdraw from the Service before the effective date of the revised Terms, you will be deemed to have accepted the revised Terms.
4. Ashirase may suspend or discontinue all or part of the Service at its discretion.
5. Where reasonably practicable, Ashirase will provide prior notice before discontinuing the Service.

8. Apple Platform Terms

1. The following provisions supplement these Terms of Use for users who access or use the Service through an Apple-branded device or the Apple App Store. These provisions form part of these Terms. To the extent of any inconsistency between this section and the other provisions of these Terms, this section will prevail.
   1. The Service is provided under an agreement between you and Ashirase only. Apple Inc. ("Apple") is not a party to these Terms and is not responsible for the Service.
   2. Subject to these Terms, Ashirase grants you a non-transferable licence to use the App on Apple-branded devices that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
   3. You acknowledge that Apple has no obligation whatsoever to provide any maintenance or support services with respect to the App.
   4. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
   5. You agree that any claims relating to the Service or your use of the Service, including but not limited to product liability claims, claims that the Service fails to conform to applicable legal or regulatory requirements, or claims arising under consumer protection or similar legislation, will be directed solely to Ashirase and not to Apple.
   6. You agree that any claims alleging that the Service or your use of the Service infringes the intellectual property rights of a third party will be directed solely to Ashirase and not to Apple.
   7. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, and you are not listed on any U.S. Government list of prohibited or restricted parties.
   8. You must comply with all applicable third-party terms of agreement when using the Service.
   9. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

9. Privacy and Confidentiality

1. Your personal information will be handled in accordance with our Privacy Policy, available at:

   By using the Service, you acknowledge that your personal information will be collected, used, and handled as described in the Privacy Policy.
2. If Ashirase provides you with information relating to the Service that is designated as confidential or that would reasonably be understood to be confidential, including information relating to unreleased features, pilot programs, testing activities, or future services ("Confidential Information"), you must keep such information confidential and must not disclose it to any third party without Ashirase's prior written consent.
3. You must use the Confidential Information solely for the purpose of using or evaluating the Service and must not use it for any other purpose.
   This clause does not apply to information that:
   (a) becomes publicly available without breach of these Terms; or
   (b) was lawfully known to you before disclosure by Ashirase.

10. Intellectual Property

1. All intellectual property rights in the Device, App, Service, software, algorithms, and related materials are owned by Ashirase or its licensors.
2. Nothing in these Terms transfers any intellectual property rights to the user.
3. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by applicable law.

11. Communication and Notice

1. If you have questions about the Service or these Terms, you may contact Ashirase using the contact details below:

2. Ashirase may send notices relating to the Service or these Terms by email or other contact information that you provide.
3. Any notice sent by Ashirase to the contact information you provide will be deemed received when it is sent, unless otherwise required by applicable law.

12. Termination, Withdrawal, Service Availability

1. You may stop using the App at any time.
2. If you wish to withdraw from the membership service, you must complete the withdrawal procedure using the method specified by Ashirase on the Ashirase membership page (https://www.ashirase.com/support/mypage).
   The withdrawal will take effect 31 days after the date on which the withdrawal procedure is completed.
3. Ashirase may suspend or terminate your access to the App or Service if:
   1. you breach these Terms; or
   2. Ashirase reasonably determines that any information provided by you is false, inaccurate, or misleading.
   Such suspension or termination does not affect any rights you may have under applicable Consumer Law.

13. Suspension or Interruption of the Service

1. Ashirase may suspend or interrupt all or part of the Service without prior notice if:
   1. emergency inspection, maintenance, or repair of the systems supporting the Service is required;
   2. the Service becomes unavailable due to failures or disruptions of computers, networks, communication systems, operational errors, excessive traffic, unauthorised access, hacking, or other technical incidents;
   3. the Service cannot be operated due to events beyond Ashirase's reasonable control, including earthquakes, lightning, fire, floods, storms, power outages, or other natural disasters; or
   4. Ashirase reasonably determines that suspension or interruption of the Service is necessary for operational, security, or technical reasons.

14. Prohibited Organisations and Conduct

1. You represent and warrant that you are not, and will not become, any of the following:
   1. a member of, or affiliated with, any organised crime group, criminal organisation, or other group that engages in unlawful or violent activities;
   2. a person or entity that provides funding, financial support, or services to such organisations;
   3. a person or entity that maintains business relationships or other close associations with such organisations; or
   4. a person who engages in unlawful conduct including, but not limited to, threats, coercion, fraud, or actions intended to damage the reputation, business, or operations of Ashirase.
2. If Ashirase reasonably determines that you fall within any of the categories described above, Ashirase may immediately suspend or terminate your access to the App or Service without prior notice.
3. To the maximum extent permitted by applicable law, Ashirase will not be liable for any loss or damage arising from such suspension or termination.

15. Country-Specific Terms

1. Certain jurisdictions may have laws, regulations, or mandatory consumer protection provisions that apply specifically to users located in those jurisdictions.
2. Where required by applicable law, Ashirase may publish additional terms, disclosures, or notices that apply only to users located in a particular country or region ("Country-Specific Terms").
3. The Country-Specific Terms form part of these Terms of Use and apply only to users located in the relevant country or region.
4. To the extent permitted by applicable law, the Country-Specific Terms will prevail over these Terms of Use to the extent of the inconsistency.
5. Country-Specific Terms may address, among other matters:
   • consumer protection rights
   • warranty notices
   • regulatory disclosures
   • governing law and jurisdiction
   • mandatory safety or product compliance information
6. Country-Specific Terms will be made available on the Ashirase website or within the App.

16. Assignment

You may not assign, transfer, or otherwise dispose of your rights or obligations under these Terms to any third party without Ashirase's prior written consent.

17. Governing Law

1. These Terms of Use are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.
2. Nothing in these Terms affects any mandatory rights you may have under the laws of the country or region in which you reside.
3. To the extent permitted by applicable law, any dispute arising out of or in connection with these Terms shall be subject to the jurisdiction of the courts of Japan, unless otherwise required by applicable law or specified in the Country-Specific Terms.
